BAJJPAY website and client portal

This document is a working draft that describes how BAJJPAY currently operates. It is pending review by BAJJPAY's legal counsel and will be updated when that review is complete.

Scope

These terms govern your use of the BAJJPAY website and client portal. Trading between BAJJPAY and your organisation is governed by the client agreement and terms signed during onboarding ("Client Agreement"). Where these terms and the Client Agreement conflict, the Client Agreement applies.

Eligibility

The portal is for businesses and professional counterparties. By opening an account you confirm that you are authorised to act for the organisation you register, that the information you provide about it is accurate, and that you will keep it up to date. BAJJPAY may decline to onboard any organisation at its discretion.

Accounts and security

Each person using the portal must have their own account. You are responsible for keeping your password confidential and for activity carried out under your account. Tell us immediately at desk@bajjpay.com if you believe your account has been used without authority. Your organisation's administrators control which roles, permissions, approval bands and transaction limits apply to its users, and are responsible for keeping those settings appropriate.

Quotes and trades

A request for quote is a request for a price, not an order. A quote returned by BAJJPAY is firm for the validity period stated on it. If your organisation accepts a quote within that period, through a user with the necessary permission and any approvals your organisation's settings require, a binding trade is formed on the terms of the quote and the Client Agreement. A quote that is not accepted within its validity period expires and cannot be revived. Indications given in conversation are not quotes.

Settlement

Each trade settles in accordance with the settlement method chosen on the request and the instructions agreed for your organisation. BAJJPAY settles only to bank accounts and wallet addresses that your organisation has nominated in the portal and BAJJPAY has verified. Your organisation is responsible for the accuracy of those details. Transfers to blockchain addresses are irreversible once broadcast. Where a trade requires your organisation to deliver funds first, BAJJPAY's obligation to deliver the other side arises once those funds have been received and cleared compliance review.

Fees

Fees are set out in the Client Agreement and shown on each quote. Prices are quoted all-in unless the quote states otherwise. Bank charges levied by your own bank or by intermediary banks, and network fees on transfers you initiate, are your responsibility.

Your obligations

  • Provide accurate and complete information during onboarding and keep it current, including changes of ownership, directors or authorised users.
  • Use the service only for lawful purposes and with funds of lawful origin, and provide information about the source of funds when asked.
  • Comply with the Acceptable Use Policy.
  • Not attempt to circumvent approvals, limits or other controls, whether your own organisation's or BAJJPAY's.

Availability

We aim to keep the website and portal available but do not guarantee uninterrupted access. We may suspend access for maintenance, security or legal reasons. Where the portal is unavailable, your dealer remains reachable by the contact details in the Client Agreement.

Intellectual property

The website, portal, their design and content are owned by BAJJPAY or its licensors. You may use them only to access the service. You may not copy, reproduce or create derivative works from them except as permitted by law.

Liability

The website is provided for information. Nothing on it is advice or a recommendation. To the extent permitted by law, BAJJPAY is not liable for loss arising from reliance on the website's content, from unavailability of the website or portal, or from events outside its reasonable control, including failures of banks, payment systems or blockchain networks. Nothing in these terms limits liability that cannot be limited by law. Liability in respect of trades is governed by the Client Agreement.

Suspension and termination

BAJJPAY may suspend or close an account, or decline a request, where it reasonably believes these terms, the Client Agreement or applicable law have been breached, where required by law or a regulator, or where it is unable to complete verification. Obligations arising from trades already formed survive closure of an account.

General

These terms are governed by the law stated in your Client Agreement, and disputes are subject to the jurisdiction stated there. If any part of these terms is found unenforceable, the rest continues to apply. We may update these terms; the date at the top shows when they were last changed, and material changes affecting portal users will be notified through the portal or by email.
